Brian P. White

As an attorney and entrepreneur, Brian White has gained a broad base of corporate and
transactional experience as counsel to foreign and domestic businesses, both
large and small, advising and representing his clients in all aspects and life
cycles of their operations, but with a focus on real estate transactions.

Real Estate and Finance:
Mr. White has represented real estate developers, investors, brokers and agents at
every stage of real estate acquisition, finance, development and leasing
transactions including: the acquisition of
 office, industrial,
retail and multifamily properties; the acquisition of REO properties and
non-performing commercial and residential loans from institutional lenders on
behalf of private equity funds; the negotiation, drafting and review of
institutional, private, and hard money commercial loans including
acquisition/construction, bridge, wrap and permanent financing, structured
mezzanine, syndicated and participating loans; the management of due diligence,
planning, execution and closing for commercial loans and purchases, including
valuation, title, zoning, subdivision and environmental compliance issues; and
the evaluation and negotiation of high-rise office, medical office, light
industrial, and shopping center leases on behalf landlords and tenants.

Non-Profit:
Mr. White has represented individuals and businesses in various charitable and non-profit matters including non-profit entity formation and governance, charitable foundations, 501(c)(3) tax exempt applications and compliance, state registration and compliance, and commercial co-venture agreements.  Mr. White has served on the boards of several public charities.

Corporate:
As general counsel to a number of mid-size businesses, Mr. White has advised boards and executive teams on risk assessment and management, corporate governance, entity formation and capitalization, investor rights agreements, mergers and acquisitions, dissolutions and winding up, and employment matters including executive compensation planning, incentive stock options, stock appreciation rights agreements, and other equity sharing arrangements.

Commercial/Business/Technology Transactions:
Mr. White also advises businesses on day-to-day operational matters, including, technology licensing agreements, distributorship programs and agreements, franchise circulars and agreements, vendor services and independent contractor agreements, asset purchase and sale agreements, secured transactions, and trademark registration and prosecution.
